Terms and Conditions

1. Agreement to Terms

By accessing or using Play1 Media's services, website, or platform (collectively, the "Services"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our Services.

2. Description of Services

Play1 Media provides a sponsorship management platform that facilitates community sponsorships for athletic teams and organizations. Our Services include:

  • Sponsorable inventory management
  • Sponsorship storefront hosting
  • Sponsor content collection
  • Design services for sponsorship assets
  • Physical and digital delivery of sponsorable assets
  • Reporting on project completion and revenue generation
  • Market research reports

3. User Accounts

To access certain features of our Services, you may be required to create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that all information provided is accurate and up-to-date

4. Fees

Play1 offers multiple services including a platform for managing sponsorship sales, sponsor outreach and physical delivery of sponsorship assets. All plans include access to the Play1 Platform. Unless otherwise stated in writing, standard fees are as follows:

  • The platform fee for transactions processed through the platform is 18%
  • The service fee for sponsor outreach is 52%
  • The physical delivery fees are:
    • $100 for 3'x6' banner
    • $1,299 for 100 copies of a 24-page media guide

5. Payment Terms

Play1 will distribute payments within 30 days of the campaign ending via check or ACH transfer contingent on reciept of a W9. All fees are non-refundable unless otherwise stated. Play1 reserves the right to modify pricing with reasonable notice to users.

6. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, and software, are owned by Play1 Media and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

7. User Content

You retain ownership of any content you submit through our Services. By submitting content, you grant Play1 a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing our Services.

8. Prohibited Uses

You agree not to use our Services:

  • For any unlawful purpose or in violation of any laws
  • To harass, abuse, or harm others
  • To transmit any malicious code or interfere with the Services
  • To impersonate any person or entity
  • To collect or harvest user information without consent

9. Limitation of Liability

To the maximum extent permitted by law, Play1 Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Services.

10. Indemnification

You agree to indemnify and hold harmless Play1 Media, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

11. Termination

Play1 may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
